Terms of Service
The Silver Crown Group LLC
Effective date: May 17, 2026
Please read these Terms of Service (“Terms”) carefully before using SessionGraph. By accessing or using any part of the Service (as defined below), you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Service.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you (“User”, “you”, or “your”) and The Silver Crown Group LLC, a limited liability company (“SessionGraph”, “we”, “our”, or “us”). By creating an account, downloading the desktop application, or otherwise accessing the Service, you confirm that you are at least 18 years of age (or the legal age of majority in your jurisdiction), have the legal capacity to enter into these Terms, and agree to be bound by them.
2. Description of Service
SessionGraph provides the following components (collectively, the “Service”):
- Desktop Application — a Tauri/Rust local HTTPS proxy that intercepts AI API traffic, compresses context, extracts session graphs, and stores session data locally on your device.
- Web Dashboard — a web application at sessiongraph.dev for account management, subscription management, and viewing aggregate usage statistics.
- License Management — a license validation infrastructure that determines your feature entitlements based on your subscription tier.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
3. Account Registration and Responsibility
To access certain features (session saves, web dashboard, Pro entitlements), you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials and not share them with others
- Promptly notify us at hello@sessiongraph.dev of any unauthorised access to your account
- Accept responsibility for all activity that occurs under your account, whether or not authorised by you
One account per individual or legal entity. You may not create accounts on behalf of a third party without their written authorisation.
4. Subscription and Billing
Plans and Fees
SessionGraph offers subscription plans as described on the pricing page. Prices are stated in US Dollars and are exclusive of applicable taxes. We reserve the right to change prices upon 30 days' written notice.
Billing Cycle
Subscriptions are billed monthly or annually in advance, depending on the plan you select. All payments are processed by Stripe. By providing payment information, you authorise us (via Stripe) to charge your payment method for the applicable subscription fees.
Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can manage and cancel your subscription at any time from the Account > Billing section of the web dashboard.
Cancellation
If you cancel your subscription, you retain Pro access until the end of the current paid billing period. We do not provide prorated refunds for unused time, except where required by applicable consumer protection law.
Failed Payments
If a payment fails, we will notify you by email and attempt to retry the charge. If payment remains outstanding for more than 7 days, your account may be downgraded to the Free tier until payment is resolved.
5. Free Tier Limitations
The Free tier includes unlimited context compression but is limited to 3 session graph saves per calendar month. Additional limitations of the Free tier include:
- No access to priority support
- No early access to beta features
- No SLA or uptime guarantee (see Section 9)
We may adjust Free tier limits with 30 days' advance notice delivered by email to your registered address. Existing Free tier users will not have limits reduced without at least 30 days' notice.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation
- Attempt to reverse engineer, decompile, disassemble, or derive the source code of the proprietary SaaS backend components (the web dashboard, license validation server, or compression API). Note: the desktop application core is open source under Apache-2.0 and may be studied, modified, and redistributed per that license
- Circumvent, disable, or otherwise interfere with security features of the Service, including license validation mechanisms
- Use the Service to transmit malware, viruses, or any other malicious or harmful code
- Abuse the Service in a way that materially degrades performance for other users (e.g., scripted bulk requests in excess of normal usage patterns)
- Share, resell, or sublicense your license key to third parties
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
We reserve the right to investigate and take action against violations of this section, including account termination and, where appropriate, referral to law enforcement.
7. Intellectual Property
Desktop Application
The SessionGraph desktop application core (the Rust proxy, local SQLite storage, and React dashboard) is released under the Apache License, Version 2.0. You may use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the software, subject to the terms of that license. The full text of the Apache-2.0 license is available in the source repository.
SaaS Platform and Brand
The web dashboard, license validation infrastructure, API, and all associated backend services are proprietary and owned exclusively by The Silver Crown Group LLC. All rights reserved. The SessionGraph name, logo, and visual identity are trademarks of The Silver Crown Group LLC. You may not use them without prior written permission.
Your Content
You retain all rights to your source code, prompts, and session data. As described in our Privacy Policy, we do not receive your code or conversation content. The aggregate usage statistics you upload to the dashboard remain your data; you grant us a limited licence to store and display them to you within the Service.
8. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
9. Disclaimer of Warranties
To the maximum extent permitted by applicable law:
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) any defects or errors will be corrected; (c) the results obtained from use of the Service will be accurate or reliable; or (d) the Service will meet your requirements.
No SLA or uptime guarantee is provided on the Free tier. Pro subscribers receive commercially reasonable efforts to maintain availability but no contractual uptime SLA unless separately agreed in writing.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SESSIONGRAPH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION.
IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify, defend, and hold harmless The Silver Crown Group LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) your violation of any applicable law or regulation.
12. Termination
We may suspend or terminate your account and access to the Service, with or without notice, for:
- Violation of these Terms or our Acceptable Use policy
- Non-payment of subscription fees after a 7-day grace period
- Suspected fraudulent or illegal activity
Where feasible and not legally prohibited, we will provide at least 7 days' notice before termination to allow you to export your data.
You may terminate your account at any time by requesting deletion per the process in the Privacy Policy. Upon termination, your right to use the Service ceases immediately. Sections 7 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) survive termination.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions.
Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings conducted in English. The arbitration will take place in Wyoming, unless both parties agree otherwise. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Wyoming for matters involving intellectual property or confidentiality obligations.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the effective date above. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may request account deletion.
15. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and SessionGraph regarding the Service and supersede all prior agreements.
- Severability. If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
- No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them without restriction in connection with a merger, acquisition, or sale of assets.
